Appointment of Joint Auditor

Post by amarendra05 on Thu Jun 09, 2011 12:03 pm

Hi Gud Morning to all,

Can any body guide me on following issue.

1.A Public Ltd company want to appoint a joint Statutory Auditors in same role and responsibilty with earlier Statutory auditor.
But the appointment Joint auditor is in between two AGM not in AGM.

How the company will appoint him ?
Is it possible , a proposal in Board meeting and appoint in EGM ?

Looking for quick reply.

Dear Amarendra

The Statutory Auditors is appointed in only in General Meeting of Share Holders except the First Auditor so here it is possible by calling an EGM to appoint the another Auditor as joint Statutory Auditor. The Board can appoint him only as internal Auditor but not as Statutoru Auditor.

correct if wrong
